当地时间7月27日，据路透社的独家消息报道，欧洲反托拉斯监管机构将通过收购事项，阿尔斯通收购庞巴迪铁路业务后，将成为全球第二大轨道交通制造商，在全球范围内与中车展开更激烈的竞争。

据悉，欧盟委员会对收购事项对市场竞争格局曾表示担忧，之后两家企业做出了一些让步。阿尔斯通出售了部分位于德国的铁路资产，配备庞巴迪列控系统和信号系统的法国TGV也承诺会向其他竞争开放更多市场，根据竞争对手与相关利益方的反馈意见，监管机构将对收购事项认可。

收购背景

2020年2月，法国阿尔斯通正式宣布与加拿大庞巴迪及魁北克储蓄投资集团签订谅解备忘录。法国阿尔斯通将通过现金及股票等方式收购庞巴迪铁路部门的100%股份，价值在58亿至62亿欧元。

如果一切顺利，将在2021年上半年完成收购事宜。

BRUSSELS (Reuters) - Alstom is set to gain EUantitrust approval to buy Bombardier Inc's rail business, people familiar withthe matter said on Monday, a deal which will make the French rail maker theworld's second largest behind Chinese leader CRRC Corp.

Alstom earlier this month offered to sell aFrench rail factory, its regional train unit Coradia Polyvalent, and aBombardier commuter trains division and the related production facilities atits Hennigsdorf site in Germany.

The French TGV high-speed train maker alsoproposed providing access to some products within Bombardier's train controlsystems and signalling units to rivals.

The concessions came after the EuropeanCommission voiced concerns about Alstom's greater market clout after the deal.

Alstom subsequently improved the concession onaccess to the Canadian company's train control systems and signalling units butdid not have to sell more assets following feedback to the Commission fromrivals and customers, the people said.

The Commission, which is scheduled to decideon the deal by July 31, declined to comment. Alstom and Bombardier alsodeclined to comment.

Last year, EU regulators blocked Alstom'sattempt to merge rail assets with Siemens AG after they refused to offer moreconcessions.

为了对抗中国中车，去年阿尔斯通和西门子曾想合并轨道交通业务，但欧盟出于反垄断考虑，否决了这一合并。

随后阿尔斯通转而寻求收购庞巴迪铁路业务。据外媒报道，两家公司早在去年9月之前就已经开始谈判。庞巴迪铁路近些年营收不佳、债务高企，列车在欧洲出现了多起质量问题，也需要找到一个合作伙伴，改变现状。
